AN ACT EXTENDING THE TERM OF THE COMMITTEE ON PRIVATIZATION AND THE ASSET PRIVATIZATION TRUST AMENDING FOR THE PURPOSE REPUBLIC ACT NUMBERED SEVEN THOUSAND ONE HUNDRED EIGHTY-ONE, AS AMENDED

Be it enacted by the Senate and House of Representatives of the Philippines in Congress assembled:

Section 1 — of Republic Act No. 7181, as amended by Republic Act No. 7661 and Republic Act No. 7886, is hereby further amended to read as follows:

"SECTION 1. The term of the Committee on Privatization and the Asset Privatization Trust created by Proclamation No. 50 'Proclaiming and Launching a Program for the Expeditious Disposition and Privatization of Certain Government Corporations and/or the Assets thereof, and Creating the Committee on Privatization and the Asset Privatization Trust' is hereby extended from January 01, 2000 to December 31, 2000.

"During the said extension period, the Committee on Privatization and the Asset Privatization Trust shall continue to exercise the powers, duties and responsibilities provided under Proclamation No. 50, as amended: Provided, That all disposition of any and all assets shall be primarily for cash: Provided, however, That the use of government financial instruments and sales by installment may be allowed: Provided, further, That the Committee on Privatization shall serve as the central agency of the privatization program and, accordingly, is further empowered:

"(a) To designate the disposition entity for all assets intended for privatization, including all assets and properties recovered by the Presidential Commission on Good Government (PCGG) and government idle properties; and

"(b) When necessary, to appoint a representative to the governing board of a government corporation or corporation with government transferred assets which has been identified for privatization who shall, for all purpose of facilitating privatization, have the powers and privileges of a member of such board, except the right to vote: Provided, That such appointee shall not receive any additional salary or emolument by reason of such appointment: Provided, further, That the appointee shall not be eligible for employment in any capacity whatsoever in the said corporation within two (2) years after privatization.

"Upon the effectivity of this Act, all receipts from the sale of assets of the Asset Privatization Trust shall be remitted to the National Treasury in the following proportion: sixty percent (60%) to the special account of the Agrarian Reform Fund and forty percent (40%) to the general fund: Provided, however, That within the ten-year period of implementation of the Comprehensive Agrarian Reform Program the total initial amount of Fifty billion pesos (P50,000,000,000.00) shall be satisfied and completed from all sources pursuant to the pertinent provisions of Republic Act No. 6657 and Executive Order No. 229, dated July 1987: Provided, further, That except for subsidiaries of the Government Service Insurance System and the Social Security System, all government-owned and -controlled corporations shall remit to the National Government at least fifty percent (50%) of the net proceeds derived from the sale of shares or assets effective October 1, 1992: Provided, finally, That net proceeds shall mean gross proceeds less related liabilities and selling expenses.

"Upon approval of this Act, the Commission on Audit shall undertake an examination of all the assets and liabilities remaining with Asset Privatization Trust. The Commission on Audit shall complete the examination within one hundred eighty (180) days.

"The financial assets shall, upon the expiration of the term of the Asset Privatization Trust, be transferred for disposition by the President of the Philippines to a trust department of the appropriate government financial institution. The physical assets remaining at the end of the term of the Asset Privatization Trust shall immediately be transferred to the appropriate government agency for disposition.

"There shall be no disposition of properties during the last thirty (30) days of the term which shall be devoted exclusively to the liquidation of the Asset Privatization Trust and the Committee on Privatization and the preparation for turnover of its assets, records and properties to the appropriate government office which will handle its disposition.

"All assets held by the Asset Privatization Trust, all moneys and other properties belonging to it, and all its liabilities outstanding upon the expiration of its term shall revert to and be assumed by the National Government.

"All cash advances and unsettled obligations incurred after the effectivity of this law by the officers and employees of the Committee on Privatization and the Asset Privatization Trust, as finally determined by the proper agency or court of law, must be liquidated on or before December 31, 2000.

"(c) The decision of the Asset Privatization Trust and the Committee on Privatization on the sale and disposition of assets shall be final without need concurrence by the owner and/or the custodian agency or corporation of the asset."

Upon the expiration of the terms of the Committee on Privatization and the Asset Privatization Trust, all their powers, function, duties and responsibilities, all properties, real or personal assets, equipment and records, as well as their obligations and liabilities, shall devolve upon the National Government.

Sa kasaysayan ng Pilipinas, maraming government-owned na korporasyon at asset ang naging mabigat na pabigat sa pampublikong pondo. Sa pagbabago ng pamahalaan sa 1986, lumikha ang Proclamation No. 50 ng isang sistema para ibenta o i-privatize ang mga ito.

Ang Republic Act No. 8758, na naisabatas noong Disyembre 28, 1999, ay isang maikling batas — anim na sections lamang — na nagpahaba ng buhay ng dalawang tanggapang responsable sa programang ito.

Ang Dalawang Ahensya ng RA 8758

Ang batas na ito ay tungkol sa dalawang tanggapan na nilikha ng Proclamation No. 50:

1. Committee on Privatization (COP)

Ang sentral na ahensya ng privatization program. Sa ilalim ng RA 8758, ang COP ay may dagdag na kapangyarihan:

  • Pumili ng disposition entity — maaaring magdesignate ng sinong ahensya ang magbebenta ng partikular na asset, kasama ang mga ari-arian na na-recover ng PCGG
  • Mag-appoint ng kinatawan sa governing board ng isang korporasyon na inihanda para sa privatization — pero walang karapatang bumoto at walang dagdag na suweldo

2. Asset Privatization Trust (APT)

Ang tanggapan na aktwal na hawak at nagbebenta ng mga government assets. Sa ilalim ng batas:

  • Lahat ng kita mula sa pagbebenta ay dapat iremit sa National Treasury:
    • 60% sa special account ng Agrarian Reform Fund
    • 40% sa general fund
  • Ipinagbabawal ang disposisyon ng mga ari-arian sa huling 30 araw bago mag-expire ang term — para lang sa orderly na pag-liquidate at paghahanda ng turnover

Ang Ekspirasyón at Turnover (Section 2)

Pagkatapos mag-expire ng term ng APT at COP, ang lahat ng kanilang:

  • Financial assets — ililipat sa trust department ng isang government financial institution (para sa patuloy na disposisyon)
  • Physical assets — agad na ililipat sa naaangkop na government agency
  • Mga obligasyon at liabilities — ire-remit sa National Government

Bakit Ito Mahalaga sa Ordinaryong Mamamayan

Bago mo isantabi ang batas na ito bilang "teknikal" at hindi para sa iyo — may direktang implikasyon ito:

Ang Agrarian Reform Fund Connection

Ayon sa batas, 60% ng lahat ng kita ng APT sa panahon ng extension ay napupunta sa Agrarian Reform Fund — ang pondong ginamit para pondohan ang Comprehensive Agrarian Reform Program (CARP).

Para sa mga magsasaka at benepisyaryo ng CARP sa buong bansa, ang privatization ng government assets ay direktang nagdudulot ng pondo para sa pamamahagi ng lupa at programa ng suporta.

Ang "Pera Mula sa Aming Buwis"

Ang mga government-owned na korporasyon na ibinebenta ng APT ay dating pinamomondohan ng pera ng mga mamamayan. Ang maayos at transparent na pagbebenta ng mga ito — na sinisigurado ng batas na ito — ay nagbibigay-katiyakan na makakabalik ang pera sa pampublikong kaban.

Commission on Audit Oversight

Sa ilalim ng batas, ang COA ay kinailangan ng isang 180-araw na audit ng lahat ng natitirang assets at liabilities ng APT bago mag-expire ang term nito — isang tanda ng transparency at accountability.


Ano ang Hindi Dapat Asahan sa Batas na Ito

Ang RA 8758 ay isang procedural at temporal na batas. Hindi ito:

  • Nagbibigay ng karapatang personal para sa mga indibidwal
  • Lumilikha ng bagong programa para sa mga mamamayan
  • May probisyon para sa mga reklamo o appeals ng mga ordinaryong mamamayan

Ito ay isang mekanismo ng pamamahala ng estado — isang extension ng operating authority para matiyak ang orderly na pagtatapos ng isang programang inilunsad ng Proclamation No. 50 ng 1986.


Konteksto: Ang Privatization Program ng Pilipinas

Mauunawaan ang RA 8758 nang mas malalim kung alam mo ang kasaysayan:

Proclamation No. 50 (1986) — Inilunsad ni Pangulong Corazon Aquino ang privatization ng daan-daang government-owned corporations at assets, marami sa mga ito ay namana mula sa Marcos era.

RA 7181 (1992) — Nagbigay ng pormal na statutory basis sa programa at nagtakda ng unang termino ng APT.

RA 7661 at RA 7886 — Mga paunang extension ng termino ng APT.

RA 8758 (1999) — Ang panghuling extension, hanggang Disyembre 31, 2000.

Sa katapusan ng 2000, ang mga natitirang ari-arian ay inilipat sa iba't ibang government agencies at financial institutions para sa patuloy na disposisyon, na ang ilan ay tumagal pa ng maraming taon.
